Terms and Conditions for Business Consulting Services
1. Introduction
By engaging with Midwest Elegance ("the Company"), you ("the Client") agree to the following Terms and Conditions for business consulting services. These terms govern the use of our services and any related engagements. Please read them carefully.
2. Scope of Services
The Company agrees to provide consulting services as outlined in the Service Agreement or Statement of Work (SOW). These services may include, but are not limited to, administrative support, project management, event planning, marketing, and organizational consulting. Any additional services outside the agreed scope will be subject to a separate agreement and fees.
3. Fees and Payment
Fees for services will be agreed upon in advance and outlined in the Service Agreement or SOW. Payment terms will be specified, including any required deposits, payment schedules, and accepted methods of payment. Late payments may be subject to interest charges.
4. Confidentiality
The Company agrees to maintain the confidentiality of all client information provided during the course of the consulting engagement. Clients are responsible for ensuring that confidential information is shared only with authorized parties.
5. Client Responsibilities
The Client agrees to provide accurate and timely information necessary for the completion of the services. The Client is responsible for all decisions and actions taken based on the advice or recommendations provided by the Company.
6. Intellectual Property
All materials, reports, documents, and work products created by the Company during the course of providing services remain the intellectual property of the Company, unless otherwise specified in the agreement. The Client is granted a license to use these materials solely for internal purposes.
7. Limitation of Liability
The Company’s liability is limited to the amount paid by the Client for the services provided. The Company is not responsible for any indirect, incidental, or consequential damages arising from the services rendered.
8. Termination
Either party may terminate the agreement with written notice, subject to the terms outlined in the Service Agreement or SOW. If the Client terminates the agreement before completion, they may be liable for payment for services rendered up to the termination date.
9. Dispute Resolution
In the event of a dispute, both parties agree to first seek resolution through mediation. If mediation fails, the dispute will be settled through arbitration in accordance with the laws of Minnesota Statute 543.19.
10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Minnesota Statute 543.19, without regard to its conflict of law principles.
11. Changes to Terms
The Company reserves the right to modify or update these Terms and Conditions at any time. Clients will be notified of any significant changes, and continued use of the services constitutes acceptance of the updated terms.
